e-Stamping in India

e-Stamping

e-Stamping for Agreements and Contracts

A practical guide to stamping business agreements while keeping document preparation, approval, stamping, signing and records connected.

Business agreements may require stamp duty depending on their nature, transaction and applicable State law. The correct State, stamp article and duty should be verified before submitting an e-Stamping request.

Common Agreement Types

Non-disclosure agreement

Parties, purpose, location, term and execution method.

Master service agreement

Value, service scope, schedules, State connection and related statements of work.

Vendor or supplier agreement

Commercial terms, delivery, service levels, insurance and renewal.

Consultancy agreement

Scope, fees, term, intellectual property and party status.

Employment or contractor agreement

Location, term, compensation and execution requirements.

Commercial or technology agreement

Data, licensing, support, value and cross-border or multi-State facts.

Amendment or supplemental agreement

Relationship with the original agreement and whether additional duty applies.

Do Not Classify by Title Alone

A document called a “service agreement” can describe very different transactions. Stamp classification should consider the substance of the rights and obligations, the applicable State and relevant value, not only the filename or heading.

Stamping Is Not Signing

Recommended Enterprise Workflow

  • Finalise the execution version or identify the version to be stamped.
  • Confirm the relevant State and article with qualified advisers where necessary.
  • Approve the duty, party details and transaction values.
  • Initiate the supported RazorSign e-Stamping request.
  • Receive the certificate or scanned copy according to the mode.
  • Complete electronic or other signing separately.
  • Store the final agreement, certificate and audit history together.
  • Create obligations, renewals and notices from the executed contract where relevant.
